Terms of Service

1. Eligibility

You must be at least 18 years old and able to form a binding contract to use TradeWise. By using the Service, you represent that you meet these requirements.

2. What TradeWise Is — and Is Not

TradeWise is an analytics and journaling tool. It calculates performance metrics and uses AI to identify patterns in your own trading history and journal entries.

TradeWise does not provide financial, investment, tax, or trading advice. Nothing in the Service is a recommendation to buy, sell, or hold any security or to make any particular trade. All analysis describes patterns in your own past activity and is for informational and educational purposes only. Trading involves substantial risk, including the risk of losing money. Past performance does not guarantee future results. You are solely responsible for your own trading decisions.

3. Your Account

You are responsible for maintaining the confidentiality of your account credentials and for all activity under your account. Notify us promptly of any unauthorized use. We may suspend or terminate accounts that violate these Terms.

4. Your Data and Content

You retain ownership of the trading data and journal content you provide. You grant TradeWise a limited license to store, process, and analyze that content solely to provide the Service to you (including processing by the service providers described in our Privacy Policy). Our handling of your data is described in the Privacy Policy.

You are responsible for ensuring you have the right to upload or sync any data you provide.

5. Brokerage Connections

If you connect a brokerage account, you do so through a third-party provider (SnapTrade). You authorize TradeWise and that provider to access your brokerage activity to provide trade syncing. TradeWise is not your broker, does not execute trades, and is not responsible for the accuracy, availability, or actions of any brokerage or third-party connection provider. Synced or imported data may contain errors; you are responsible for reviewing your own records.

6. Subscriptions, Trials, and Billing

• Beta offer: During the beta period, new users may receive one (1) month of free access, after which the subscription is $9.99 per month unless cancelled. We may change or end the beta offer at any time.
• Billing: Paid subscriptions are billed through Stripe on a recurring basis until cancelled. By subscribing, you authorize recurring charges.
• Cancellation: You may cancel at any time; cancellation stops future charges and takes effect at the end of the current billing period. No refunds are provided for partial billing periods.
• Price changes: We may change pricing with reasonable advance notice; changes apply to subsequent billing periods.

7. Acceptable Use

You agree not to: misuse or attempt to disrupt the Service; access it through unauthorized means; reverse engineer it except as permitted by law; upload unlawful content; or use the Service to violate any law or any third party's rights.

8. Intellectual Property

The Service, including its software, design, and content (excluding your data), is owned by TradeWise and protected by intellectual-property laws. These Terms do not grant you any rights in our trademarks or branding.

9. Disclaimers

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, ACCURACY, AND NON-INFRINGEMENT. We do not warrant that the Service, analytics, or AI-generated insights will be accurate, uninterrupted, or error-free.

10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, TRADEWISE WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR ANY TRADING OR INVESTMENT LOSSES, ARISING FROM OR RELATED TO YOUR USE OF THE SERVICE. OUR TOTAL LIABILITY FOR ANY CLAIM WILL NOT EXCEED THE AMOUNT YOU PAID US IN THE 12 MONTHS BEFORE THE CLAIM.

11. Indemnification

You agree to indemnify and hold TradeWise harmless from claims arising out of your use of the Service, your content, or your violation of these Terms, to the extent permitted by law.

12. Termination

You may stop using the Service and delete your account at any time. We may suspend or terminate your access if you violate these Terms or if necessary to protect the Service or other users.

13. Changes to These Terms

We may update these Terms from time to time. We will update the "Last Updated" date and provide additional notice for significant changes where appropriate. Continued use after changes take effect constitutes acceptance.

14. Governing Law & Disputes

These Terms are governed by the laws of the State of New York, without regard to conflict-of-laws rules.

Informal resolution first. If you have a dispute with us, please contact us at help@usetradewise.com first. We will try in good faith to resolve it informally before either side starts formal proceedings.

Venue. If a dispute cannot be resolved informally, you agree it will be brought exclusively in the state or federal courts located in New York, and you consent to the jurisdiction of those courts.
